Terms & Conditions

1. Introduction

1.1 KLEYR GRASSO is a Luxembourg law governed limited partnership (société en commandite simple) admitted to the Luxembourg bar (list V), registered with the Luxembourg Register of Commerce and Companies under number B 220509 and represented by its general partner (gérant-associé commandité) KLEYR GRASSO GP S.àr.l., a Luxembourg law governed private limited liability company (société à responsabilité limitée), registered with the Luxembourg Register of Commerce and Companies under number B 220442. A list of the lawyers authorized to represent and sign in the name and behalf of the general partner KLEYR GRASSO GP S.àr.l. is registered with the Luxembourg Register of Commerce and Companies.

1.2 The present terms and conditions as amended from time to time (the “Terms and Conditions”) govern the Engagement and set out the basis on which KLEYR GRASSO accepts instructions from and conducts business with its Clients. The Terms and Conditions may be amended from time to time at KLEYR GRASSO’s sole discretion and the latest version of the Terms and Conditions, which can be consulted and/or downloaded on the KLEYR GRASSO website www.kleyrgrasso.com, shall prevail.

1.3 By instructing KLEYR GRASSO, the Client agrees to be bound by these Terms and Conditions which override any and all terms and conditions of the Client. A letter of engagement signed by the KLEYR GRASSO partner in charge of the matter may alter or override any of the present Terms and Conditions.

1.4 Except as otherwise expressly set forth in the present Terms and Conditions or any other writing signed by duly authorized representatives of KLEYR GRASSO and the Client, these Terms and Conditions are intended solely for the benefit of KLEYR GRASSO and the Client, and do not confer upon any third party the status of a third-party beneficiary.

2. Definitions

For the purposes of these Terms and Conditions, the following definitions shall apply:

“Client”: means any natural or legal person to whom KLEYR GRASSO provides legal services from time to time.

“Disbursements”: means external costs, such as, but not limited to, costs from external service providers (such as, but not limited to, costs notaries, bailiffs, the Companies Register, Stamp Office or experts’ costs), travel costs, deliveries and fast courier services, computerized researches and translation costs which will be fully recharged / re-invoiced to the Client.

“Engagement”: means the business relationship of KLEYR GRASSO with its Client.

“Expenses”: means internal costs that KLEYR GRASSO charges to the Client which include, without being exhaustive, expenses for office services, such as office costs, secretarial services, photocopying, facsimile, telephone and telefax costs, postage and special couriers. Expenses are charged at a fixed rate of 10% of the Fees for the relevant period.

“Fees”: means the professional fees invoiced by KLEYR GRASSO and incurred by the Client for the Services.

“Invoices”: means the periodical statements of Fees and Expenses addressed to the Client to cover the work performed, including the Disbursements made on the Client’s behalf during the period.

“Records”: means the documents and materials provided by the Client, whether in paper or electronic form, as well as any legal and/or court documents, such as, but not limited to, any and all original bailiff’s deeds, judgements, etc., in relation to the Services.

“Services”: means the legal assistance, advice and services provided by KLEYR GRASSO to the Client under the Engagement. For the avoidance of doubt, Services includes any and all representation of the Client in court proceedings and any special mandate given to KLEYR GRASSO to represent the Client in a specific situation.

“Third Party”: means any national or foreign person, firm or entity, other than the Client, including any judicial, governmental, regulatory or tax authority that does not have a direct connection with the Services but might be affected by the Services.

“Work Product”: means any written information, recommendation, report, memorandum, presentation, writ of summons, brief of defence and any other written communication, of any kind or nature whatsoever, produced by KLEYR GRASSO that are meant to be disclosed, by any means whatsoever, to the Client and/or to be filed in court proceedings for the benefit of the Client.

“Working Documents”: means any and all internal memorandums, internal notes and any and all other written internal KLEYR GRASSO communication, of any kind or nature whatsoever.

3. Conflict of interest

3.1 Before accepting any mandate, KLEYR GRASSO will make reasonable verifications that there is no commercial conflict of interest that prevents KLEYR GRASSO from acting for the Client.

3.2 If a conflict arises while KLEYR GRASSO acts for the Client, the Client will be contacted to mitigate the issue.

4. Instructions

4.1 KLEYR GRASSO relies on the Client to give KLEYR GRASSO timely written instructions. KLEYR GRASSO does not accept any liability if the Client does not provide clear and complete instructions early enough for KLEYR GRASSO to act within the time limits set by the Client and/or any administrative or judicial authority whatsoever. All oral instructions given to KLEYR GRASSO must be confirmed in writing by the Client. KLEYR GRASSO does not accept any liability for any misunderstanding or misinterpretation of oral instructions, or for the absence of any written confirmation thereof, KLEYR GRASSO being authorized to ignore any instruction being contrary to Luxembourg law or the ethic rules of the Luxembourg Bar Association.

4.2 The Client undertakes promptly to provide KLEYR GRASSO with all information, assistance and materials that KLEYR GRASSO may request from time to time to facilitate the proper and timely performance of the Services. The Client warrants the accuracy, completeness and reliability of the information, data and documents provided to KLEYR GRASSO, even if they have come from third parties.

4.3 The Client authorises KLEYR GRASSO to complete and sign in the name of the Client such documentation as is necessary or desirable to carry out the Client’s lawful instructions, and will on first request, provide in a timely manner, any requisite signed form(s) of authorisation. The Client agrees to indemnify KLEYR GRASSO in respect of all costs, claims, demands and expenses that may result from exercise of the authority given by this clause.

5. Communications

5.1 KLEYR GRASSO will communicate with the Client by e-mail, post, fax or telephone. KLEYR GRASSO can neither guarantee the security or confidentiality of such communications, nor be held liable for any damage and/or losses suffered by the Client as a result of a security breach or the intrusion of any malware or viruses in the Client’s system or data. KLEYR GRASSO does not accept any liability for non-receipt or late receipt by the Client of any communication by e-mail, post, fax, or for any corruption in the information communicated to the Client, or its disclosure to other parties, as a result of the interception of such communication.

5.2 The Client has the responsibility to ensure that communications to the fax number or e-mail address provided by the Client to KLEYR GRASSO are secure.

5.3 KLEYR GRASSO’s advice will be final and binding only when signed by one of its partners and delivered to the Client by post, fax or e-mail in PDF format.

6. Invoicing

6.1 The Fees are established according to the rules set forth by Luxembourg law and the Luxembourg Bar association, taking into account inter alia the importance of the matter, its complexity and its outcome. For each lawyer KLEYR GRASSO charges an hourly rate that is set in accordance with his or her individual experience. These rates are exclusive of VAT and may be reviewed from time to time. By entering into an Engagement with KLEYR GRASSO, the Client expressly acknowledges that he has been informed of and agrees to the hourly rates.

6.2 The Fees will be based on the time KLEYR GRASSO’s lawyers spent on the matter and there may be an additional charge if the work is particularly complex or important or the outcome is particularly satisfactory. The Client accepts that in case of a positive outcome of a court instance or in an out of court settlement, mainly in litigation matters, KLEYR GRASSO shall be allowed to invoice a reasonable non-refundable success fee on top of its Fees based on a time spent basis.

6.3 Unless otherwise agreed in writing, estimates are provided as guidance only and are not to be considered as a firm quotation.

6.4 The following charges will be added to the Fees:

  • VAT (where applicable);
  • Expenses;
  • Disbursements.

6.5 Any partner, counsel and/or senior associate that need to travel abroad will be allowed to first-class train tickets, business class airplane tickets, and any hotel accommodation, in case of overnight stays, will be 5 stars accommodations.

7. Payment terms

7.1 KLEYR GRASSO’s standard arrangement is to send interim Invoices on a monthly or at least quarterly basis. A final Invoice will be sent to the Client when the Services are completed.

7.2 The Invoices are payable to one of the bank accounts set forth therein. The Invoices shall be paid in euro, free of any charges or transfer costs, or other costs and free of any other deductions or set-off, for whatsoever reason, and shall be paid within fifteen (15) days of the date of their issuance.

7.3 Late payment interest of 5% will be charged on the amount due as of the date of the first payment reminder.

7.4 The Client agrees that KLEYR GRASSO may discretionarily request the payment of one or several down payments in advance, both at the start of the engagement and as the matter progresses. If the Client fails to pay any down payment or Invoice, KLEYR GRASSO is entitled, after the Client has been informed to that effect, to suspend or cease its work for the Client. The Client expressly agrees that KLEYR GRASSO will under no circumstances be liable for any damage or loss suffered by the Client and/or any third party as a result of the suspension or cessation of work.

7.5 The Client is the person responsible for the payment of the Invoices unless KLEYR GRASSO and the Client have agreed otherwise in writing. For the case that the Client instructs KLEYR GRASSO to issue its Invoices to another person or legal entity, forming part of the Client’s group of companies, KLEYR GRASSO assumes that, as far as the Services are rendered for the benefit of the Client that the Client re-invoices / recharges the relevant Fees to the real beneficiary of the Services.

7.6 Upon issuance of its Invoice(s), KLEYR GRASSO is entitled to deduct the amount due from any monies KLEYR GRASSO holds, or may in the future receive, on the Client’s behalf.

8. Limitation of liability

8.1 Any and all liability on the part of KLEYR GRASSO to the Client in respect of breach of contract or breach of duty or negligence or otherwise arising out of or in connection with the Engagement or the Services provided by KLEYR GRASSO shall be limited to five times the amount of the total fees effectively charged by KLEYR GRASSO in the relevant matter to the Client.

8.2 The Client will indemnify and hold harmless KLEYR GRASSO, and its respective lawyers, officers, directors and employees, against any and all liabilities, damages, losses, settlement costs and expenses (including reasonable attorneys’ fees, legal expenses and costs of investigation) arising out of or relating to any claim, demand, suit, action, investigation or proceeding asserted, prosecuted or otherwise pursued by any Third Party against KLEYR GRASSO, and its respective lawyers, officers, directors and employees, either in Luxembourg or in any foreign jurisdiction, in relation to the Services.

8.3 In accordance with article 2276 of the Luxembourg Civil Code, KLEYR GRASSO shall, in any event, be discharged from any and all liability whatsoever or howsoever arising out of or in connection with its Engagement or the provision of its Services five (5) years after the termination of KLEYR GRASSO’s Services or the termination of its Engagement, whatever happens earlier.

9. Termination

9.1 The Client may terminate the Engagement by serving a written termination notice, marked for the attention of either to the partners or the partner in charge (as set forth in the Engagement Letter) of KLEYR GRASSO. Upon delivery of such termination notice, KLEYR GRASSO’s obligations under the Engagement shall terminate with immediate effect. Notwithstanding the aforementioned, KLEYR GRASSO shall be paid the proportion of its Fees, Expenses and Disbursements up to the date upon which the termination notice is received.

9.2 KLEYR GRASSO may terminate the Engagement by serving, either via e-mail, fax, registered mail or any other written form, a written termination notice to the Client. KLEYR GRASSO may inter alia terminate the Engagement without any liability upon any breach by the Client of these Terms and Conditions. KLEYR GRASSO’s right to terminate the Engagement is without prejudice to KLEYR GRASSO’s right to invoice the Client in respect of the proportion of the Fees, Expenses and Disbursements incurred and outstanding as at the date of the expiry of its termination notice.

10. Engagement of third parties

10.1 KLEYR GRASSO may appoint third parties, which are not part of KLEYR GRASSO, to perform any part(s) of the Services. KLEYR GRASSO’s contracts with those third parties may be made on the third party’s standard terms of business and, in such cases, KLEYR GRASSO can offer the Client no better terms in relation to services provided by such third parties than those offered to KLEYR GRASSO by the relevant third parties.

10.2 KLEYR GRASSO shall, as far as possible, consult the Client before engaging third parties, and shall in any event exercise the requisite due care in selecting such third parties. KLEYR GRASSO will, under no circumstances, be liable for any acts or omissions of third parties nor be liable for any losses, liabilities, costs or expenses incurred by the Client arising out of any default or negligence on the part of any such third parties. The Client authorizes KLEYR GRASSO to accept any limitations of liability of third parties on the Client’s behalf.

10.3 The Client will indemnify and hold harmless KLEYR GRASSO against any and all liabilities, damages, losses, settlement costs and expenses (including reasonable attorneys’ fees and legal expenses) arising out of or relating to any claim any third part appointed under this Section 10 might have against KLEYR GRASSO.

11. Professional secrecy

11.1 KLEYR GRASSO is subject to strict professional secrecy rules under Luxembourg law, and KLEYR GRASSO will, accordingly, treat all information about the Client’s business and its affairs as confidential, unless KLEYR GRASSO is obliged to disclose any information by law, by an investigating administrative or judicial authority or by agreement with the Client. The information regarding beneficial ownership which KLEYR GRASSO might be obliged to collect pursuant to clause 12 of these Terms and Conditions is subject to the same rule.

11.2 Notwithstanding the aforementioned, the Client acknowledges and accepts that KLEYR GRASSO might mention the Client’s name and a short job description to a limited number of researchers from international lawyers guides (such as Chambers or Legal 500) to whom KLEYR GRASSO makes submissions for the purpose of evaluating KLEYR GRASSO’s ranking in the Luxembourg legal market.

12. Anti money laundering regulations

12.1 KLEYR GRASSO is subject to the Luxembourg legislation regarding the fight against money laundering and against the financing of terrorism and as such obliged by law, when performing transactional work (as defined by the anti-money laundering legislation) to identify and to obtain sufficient knowledge of its Clients, their identity, their business and the nature of funds whether that passes or not through KLEYR GRASSO’s accounts. The Client commits formally, unconditionally and irrevocably towards KLEYR GRASSO to promptly submit any and all information, documents or declarations required in relation thereto (especially but not limited to any request made under the Know Your Customer (KYC) Procedure).

12.2 In accordance with the Luxembourg law of 12 November 2004 on the fight against money laundering and terrorist financing, as amended, and the Circulaire n°001/2021-2022 of the Luxembourg Bar, KLEYR GRASSO may seek the assistance of an external service provider in for the total or partial performance of its regulatory obligations. Any costs in relation to such external assistance shall be borne by the Client.

12.3 According to the applicable Luxembourg legislation, KLEYR GRASSO is also obliged to report any suspicious activity where KLEYR GRASSO knows or suspects that money or property is the subject of money laundering. In the event that KLEYR GRASSO has any such suspicion, its obligation to report to the authorities will prevail. This legal duty overrides any duty of secrecy that KLEYR GRASSO owes to its Clients.

12.4 KLEYR GRASSO cannot be held liable for any damages and/or losses incurred by the Client and arising out of or relating to any such disclosure by KLEYR GRASSO to the authorities.

13. DAC 6

13.1 The Luxembourg law of 25 March 2020 regarding reportable cross-border arrangements (“DAC 6 Law”) implementing Council Directive (EU) 2018/822 of 25 May 2018 aims to enable the tax authorities of the EU Member States to obtain information on potentially aggressive tax planning arrangements in order to take action against harmful tax practices.
If a mandate or a file entrusted to KLEYR GRASSO may be based on or constitute a cross-border arrangement within the meaning of the DAC 6 Law, the Client formally, unconditionally and irrevocably undertakes to spontaneously communicate any and all information, declarations and documents relating to such cross-border arrangement in order to allow KLEYR GRASSO to comply with its obligations under the DAC 6 Law. In the event that the Client fails to provide such information, declarations and documents, the Client undertakes to hold KLEYR GRASSO harmless against any and all liabilities, damages, losses, settlement costs and expenses (including reasonable attorneys’ fees and legal expenses arising out of or relating to any such omission.

13.2 In order to enable KLEYR GRASSO to determine whether the mandate or file entrusted to it falls within the scope of the DAC 6 Law, eventually obliging it to abide to its notification obligations, KLEYR GRASSO may seek the assistance of an external tax advisor. Any costs in relation to such external assistance shall be borne by the Client.

13.3 KLEYR GRASSO cannot be held liable for any damages and/or losses incurred by the Client and arising out of or relating to KLEYR GRASSO’s legal obligation to cooperate with the authorities.

14. Records

14.1 KLEYR GRASSO will retain the Records for a maximum period of five (5) years following the date of the termination of KLEYR GRASSO’s Services or the termination of its Engagement, whatever happens earlier. After said period, and unless the Client has asked KLEYR GRASSO in writing to be provided with the Records, KLEYR GRASSO will, in accordance with article 2276 of the Luxembourg Civil Code, be entitled to destroy the Records and KLEYR GRASSO will be discharged from any and all liability in respect to any such destruction.

14.2 KLEYR GRASSO is entitled to retain any and all Records until all amounts due to KLEYR GRASSO have been discharged by the Client.

15. Work Product and Working Documents

15.1 Working Documents prepared as a basis for, and in support of, the Services shall be and remain the sole and exclusive property of KLEYR GRASSO. The Working Documents are not to be disclosed, by any means whatsoever (including, but not limited to, any type of discovery proceedings), to the Client and/or any third party and/or to a court, of any kind or nature whatsoever, except if discretionary produced by KLEYR GRASSO for its own defense. The Client may not assert any rights, of any kind or nature whatsoever, on the Working Documents. KLEYR GRASSO retains any and all Intellectual Property rights in the Working Documents prepared in connection with the Services.

15.2 Save for Work Products that are prepared in connection with their official filing in administrative or court (administrative and judicial) proceedings, the Work Products that are disclosed to the Client are solely for the Client’s benefit and for the Client’s internal use only and the Client may not disclose a Work Product (or any portion or summary thereof) externally or refer thereto in any official document or any communication to a Third Party without KLEYR GRASSO’s prior written consent. It may not be relied upon these Work Products by the Client for any other purpose and may not be used or relied upon by, or published or communicated to or filed with, any Third Party for any purpose whatsoever without KLEYR GRASSO’s prior written consent (which may be granted or withheld in KLEYR GRASSO’s sole and absolute discretion). For the avoidance of doubt, KLEYR GRASSO does not assume any duty or liability to any Third Party to whom such copy is provided.

16. Data protection

16.1 The Client authorises and empowers KLEYR GRASSO to collect, store and process the Client’s personal information required to enable KLEYR GRASSO to provide the Services and to comply with its legal and/or regulatory obligations. KLEYR GRASSO will comply with Luxembourg data protection laws and any other applicable laws with regard to data protection. KLEYR GRASSO will not transfer the Client’s data to any third parties, except if required by law or authorised by the Client. Any personal data will be destroyed at the latest ten (10) years after the termination of the services or the business relationship.

16.2 KLEYR GRASSO will comply with (i) the Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, and repealing Directive 95/46/EC (General Data Protection Regulation) and (ii), to the extent applicable, the data protection or privacy laws of the Grand Duchy of Luxembourg.

16.3 Where KLEYR GRASSO processes data as a data controller, e.g. where KLEYR GRASSO defines the purpose of the processing and is not acting in the name and for the account of the another data controller, the personal data will be processed in accordance with the Privacy Policy (published on the KLEYR GRASSO website www.kleyrgrasso.com (section Privacy)) which Privacy Policy the Client expressly accepts.

16.4 Where KLEYR GRASSO processes data as a processor, personal data will be processed in accordance with the provisions of a separate agreement to be entered into by and between KLEYR GRASSO and the data controller.

17. No Waivers

To be effective, any waiver by KLEYR GRASSO and/or the Client of any of their rights and/or obligations under these Terms and Conditions must be made in writing and signed by a duly authorized representative of the waiving party, being for KLEYR GRASSO either its managing partner or the partner in charge (as set forth in the Engagement Letter). No failure or forbearance by KLEYR GRASSO to insist upon or enforce performance of any of the provisions of these Terms and Conditions or to exercise any rights or remedies under these Terms and Conditions or otherwise constitutes a waiver or relinquishment to any extent of KLEYR GRASSO’s right to assert or rely upon any such provision, right or remedy in that or any other instance; rather, the same will be and remain in full force and effect.

18. Severability

Any provision in these Terms and Conditions that is prohibited or unenforceable in any jurisdiction shall, as to such jurisdiction, be ineffective to the extent of such prohibition or unenforceability, without invalidating the remaining provisions hereof, and any such prohibition or unenforceability in any jurisdiction shall not invalidate or render unenforceable such provision in any other jurisdiction.
The Client accepts that such a provision will be automatically replaced by a legally valid and binding provision being the closest possible to the invalid provision, subject to the sole notification thereof by KLEYR GRASSO either by email or under any other form.

19. Headings

The Clause headings used in these Terms and Conditions are for convenience of reference only and shall not affect the construction of these Terms and Conditions.

20. Governing law and jurisdiction

20.1 These Terms and Conditions and the Engagement, including any non-contractual obligations arising out of or in connection with it, shall be governed by, and construed in accordance with the laws of Luxembourg under formal exclusion of any provision of Luxembourg international private law.

20.2 KLEYR GRASSO and the Client irrevocably submit to the exclusive jurisdiction of the courts of the City of Luxembourg (Grand-Duchy of Luxembourg) to settle any dispute arising out of or in connection with any disputes arising under these Terms and Conditions and the Engagement (including a dispute relating to the existence, validity or termination of these Terms and Conditions and the Engagement and any non-contractual obligations arising out of or in connection with these Terms and Conditions and the Engagement).

Conditions générales

1. Introduction

1.1 KLEYR GRASSO est une société d’avocats sous la forme d’une société en commandite simple de droit luxembourgeois, inscrite sur la liste V du tableau de l’Ordre des Avocats du Barreau de Luxembourg, inscrite au Registre de Commerce et des Sociétés de Luxembourg sous le numéro B 220509 et représentée par son gérant-associé commandité KLEYR GRASSO GP S.àr.l., société à responsabilité limitée de droit luxembourgeois, inscrite au Registre de Commerce et des Sociétés de Luxembourg sous le numéro B 220442. Une liste des avocats du cabinet auxquels des pouvoirs de représentation du gérant-associé commandité KLEYR GRASSO GP S.àr.l. et de signature ont été délégués est déposée au Registre de Commerce et des Sociétés de Luxembourg.

1.2 Les présentes conditions générales, telles que modifiées de temps à autre, (les “Conditions Générales“) régissent l’Engagement et définissent la manière dont KLEYR GRASSO conduit sa relation d’affaire avec le Client et accepte des instructions de la part du Client. KLEYR GRASSO se réserve le droit de modifier discrétionnairement les Conditions Générales auquel cas la dernière version des Conditions Générales, qui peut être consultée et/ou téléchargée sur le site Internet de KLEYR GRASSO www.kleyrgrasso.com, primera les Conditions Générales antérieures.

1.3 En mandatant KLEYR GRASSO, le Client accepte d’être lié par les présentes Conditions Générales dont il reconnaît avoir pris connaissance et qui priment toutes conditions générales du Client. Une lettre d’engagement signée par le partner KLEYR GRASSO en charge du dossier du Client peut prévoir des dérogations aux présentes Conditions Générales.

1.4 Sauf stipulation contraire dans les présentes Conditions Générales ou dans tout autre document écrit signé par des représentants de KLEYR GRASSO et du Client dûment habilités à ces fins, les présentes Conditions Générales ne confèrent aucun droit à des tiers.

2. Définitions

Les définitions qui suivent s’appliquent aux présentes Conditions Générales :

“Client” : désigne toute personne physique ou morale à laquelle KLEYR GRASSO rend des services juridiques.

“Débours” : désigne des dépenses externes à KLEYR GRASSO encourues par des prestataires de services externes (tels que, sans que cette liste ne soit exhaustive, des frais de notaires, d’huissiers de justice, du registre de commerce et des sociétés, du bureau d’enregistrement ou des frais d’experts), des frais de voyage, des frais de livraisons et de services courrier rapide, des recherches informatiques et des frais de traduction. Les Débours sont intégralement refacturés au Client.

“Documentation” : désigne les documents et matériaux fournis par le Client, que ce soit sous format papier ou format électronique, ainsi que toute documentation juridique ou relative à des procédures judiciaires, telles que, sans que cette liste ne soit exhaustive, les originaux d’exploits d’huissier de justice, jugements, etc., en relation avec les Services.

“Documents de Travail” : désigne tous les mémorandums internes, notes internes et toutes autres communications écrites internes de KLEYR GRASSO, de quelque nature qu’elles soient.

“Engagement” : désigne la relation professionnelle de KLEYR GRASSO avec le Client.

“Factures” : désigne les notes de Frais et Honoraires (et comprenant les Débours) qui sont périodiquement adressées au Client.

“Frais” : désigne les dépenses internes de KLEYR GRASSO qui sont à charge du Client et qui incluent, sans que cette liste ne soit exhaustive, des frais de bureau, des frais de secrétariat, de photocopie, de fax, de téléphone et de télécopie et de correspondance. Les Frais sont facturés à un montant forfaitaire égal à 10% des Honoraires pour la période concernée.

“Honoraires” : désigne les honoraires facturés par KLEYR GRASSO au Client pour les Services prestés pour le compte du Client.

“Produit de Travail” : désigne toutes informations écrites, recommandations, rapports, mémorandums, présentations, exploits introductifs d’instance, corps de conclusions et toute autre communication écrite, de quelque nature qu’elle soit, produits par KLEYR GRASSO et destinés à être divulgués, par quelque moyen que ce soit, au Client et/ou à un tiers (y compris à la partie adverse du Client) et/ou à un tribunal et pouvant être utilisés de manière officielle par chacun des précités.

“Services” : désigne l’assistance juridique, les avis et services rendus par KLEYR GRASSO au Client sous l’Engagement. Les Services englobent toute représentation du Client dans le cadre de procédures judiciaires et tout mandat spécial donné à KLEYR GRASSO aux fins de représentation du Client dans une situation spécifique.

“Tiers”: désigne toute personne résidente ou étrangère, société ou organisme, autre que le Client, y compris toute autorité judiciaire, gouvernementale, de régulation ou fiscale qui sans avoir de relation directe avec les Services pourrait néanmoins en être affectée.

3. Conflit d’intérêts

3.1 Avant d’accepter un mandat, KLEYR GRASSO entreprend des vérifications raisonnables afin de s’assurer qu’il n’existe pas de conflit d’intérêts empêchant KLEYR GRASSO d’agir pour le Client.

3.2 Si un conflit d’intérêts surgit en cours de mandat, KLEYR GRASSO se concertera avec le Client afin de remédier au problème.

4. Instructions

4.1 Le Client doit donner à KLEYR GRASSO des instructions écrites en temps utile. KLEYR GRASSO n’encourt pas de responsabilité si le Client ne donne pas, en temps utile, des instructions claires, précises et complètes pour permettre à KLEYR GRASSO d’agir endéans les délais imposés par le Client et/ou par toute autorité administrative ou judiciaire, de quelque nature qu’elle soit. Le Client doit confirmer par écrit toute instruction orale qu’il a donnée à KLEYR GRASSO. KLEYR GRASSO n’encourt pas de responsabilité en raison d’une mauvaise compréhension ou d’une mauvaise interprétation des instructions orales du Client, ou en l’absence d’une confirmation écrite de ces instructions par le Client. KLEYR GRASSO se réserve le droit d’ignorer toutes instructions orales et écrites contraires à la législation luxembourgeoise ou aux règles déontologiques de l’Ordre des avocats du barreau de Luxembourg.

4.2 Le Client s’engage à communiquer spontanément et sans délai à KLEYR GRASSO toutes informations et tous documents que KLEYR GRASSO requiert pour permettre à KLEYR GRASSO de prester les Services correctement et dans les délais. Le Client garantit l’exactitude, le caractère complet et la fiabilité des informations, données et documents communiqués à KLEYR GRASSO, même s’ils émanent de tiers.

4.3 Le Client autorise KLEYR GRASSO à compléter et à signer au nom et pour le compte du Client toute documentation indispensable ou souhaitable en vue de l’exécution des instructions licites du Client, et procurera, à première demande et en temps utile, toute autorisation écrite nécessaire. Le Client s’engage à tenir KLEYR GRASSO quitte et indemne de tous coûts, prétentions, demandes et dépenses en relation avec l’exercice par KLEYR GRASSO du mandat conféré par la présente clause.

5. Communications

5.1 KLEYR GRASSO communiquera avec le Client par courriel, voie postale, télécopie ou téléphone. KLEYR GRASSO ne garantit ni la sécurité ni la confidentialité de ces moyens de communication, et la responsabilité de KLEYR GRASSO ne saurait être engagée pour des dommages et/ou pertes subis par le Client en raison d’une faille de sécurité ou d’une intrusion d’un logiciel malveillant (malware) ou d’un virus dans le système informatique ou les données du Client. KLEYR GRASSO n’assume aucune responsabilité du chef d’une absence de réception ou d’une réception tardive d’une quelconque communication par courriel, voie postale, télécopie ou pour une altération de l’information communiquée au Client, ou sa divulgation à d’autres parties, en raison d’une interception des communications.

5.2 Le Client doit veiller à ce que les communications à destination du numéro de fax ou à l’adresse e-mail fournis par le Client à KLEYR GRASSO soient sécurisées. Le Client s’engage à informer KLEYR GRASSO immédiatement par écrit de tout changement de son adresse, numéro de téléphone et/ou fax ou adresse e-mail.

5.3 Les avis de KLEYR GRASSO seront uniquement définitifs et contraignants s’ils ont été signés par un partner KLEYR GRASSO et communiqués au Client par voie postale, télécopie ou courriel sous format PDF.

6. Facturation

6.1 Les Honoraires sont établis conformément à la législation luxembourgeoise et au règlement de l’Ordre des avocats du barreau de Luxembourg, en prenant entre autres en compte l’importance de l’affaire, le degré de difficulté et le résultat obtenu. Chaque avocat de KLEYR GRASSO est facturé selon un taux horaire fixé en fonction de son expérience. Ces taux sont hors TVA et sont sujets à des révisions périodiques. En mandatant KLEYR GRASSO, le Client reconnaît expressément avoir été informé des taux horaires applicables qu’il accepte.

6.2 Les Honoraires sont quantifiés sur base du volume de temps travaillé par les avocats de KLEYR GRASSO et un état d’honoraires complémentaire pourra être mis en charge pour le cas où l’affaire est particulièrement complexe ou importante ou si le résultat obtenu est particulièrement satisfaisant.
Le Client accepte qu’en cas de résultat positif d’une affaire, notamment pour les dossiers contentieux, KLEYR GRASSO soit autorisé à facturer, en sus des Honoraires, une prime de succès raisonnable.

6.3 Sauf accord écrit contraire, les estimations de Frais et d’Honoraires sont uniquement fournies à titre indicatif et ne sauraient, en aucune circonstance, être considérées comme une offre ferme.

6.4 Les dépenses suivantes s’ajoutent aux Honoraires:

  • TVA (si applicable ou en l’absence d’un numéro d’identification TVA intracommunautaire) ;
  • Frais ;
  • Débours.

6.5 Le Client accepte que les déplacements à l’étranger des partners, counsel et collaborateurs senior se fassent en première classe pour le train et en business class pour les vols, et les nuitée(s) dans des hôtels 5 étoiles.

7. Modalités de paiement

7.1 Des Factures intérimaires sont, en principe, envoyées mensuellement ou au moins trimestriellement au Client. Une Facture finale sera envoyée au Client lorsque les Services seront terminés.

7.2 Les Factures sont payables sur un des comptes bancaires de KLEYR GRASSO figurant sur la Facture. Les Factures sont payables en euros, sans déduction et sans escompte, tous frais bancaires ou autres frais étant à la charge du Client, ceci dans un délai de quinze (15) jours à compter de leur date d’émission.

7.3 Des intérêts de retard à hauteur de 5% seront exigibles à compter de la date du premier rappel notifié au Client.

7.4 Le Client accepte que KLEYR GRASSO puisse discrétionnairement demander le règlement d’une ou de plusieurs provisions, à la fois au début de l’Engagement et en cours d’Engagement. Si le Client omet de payer une provision, KLEYR GRASSO est autorisé, après en avoir averti le Client, à suspendre ou à arrêter ses prestations pour le Client. Le Client accepte expressément que KLEYR GRASSO ne soit, en aucune circonstance, responsable pour une perte ou un dommage souffert par le Client et/ou un tiers en raison de la suspension ou de l’arrêt des prestations par KLEYR GRASSO.

7.5 Le Client est la personne responsable pour le paiement des factures, sauf si KLEYR GRASSO et le Client y ont dérogé par écrit. Pour le cas où le Client donne instruction à KLEYR GRASSO d’émettre les Factures au nom d’une autre personne ou d’une entité juridique faisant partie du groupe de sociétés auquel appartient le Client, KLEYR GRASSO supposera que les Honoraires résultant de ces Factures seront rechargés / refacturés au bénéficiaire réel des Services.

7.6 Le Client accepte qu’en cas d’émission d’une Facture, KLEYR GRASSO soit autorisé à prélever le montant de la Facture sur toutes sommes que KLEYR GRASSO détient, ou détiendrait, pour le compte du Client.

8. Limitation de responsabilité

8.1 La responsabilité de KLEYR GRASSO envers le Client en relation avec l’Engagement ou les Services rendus par KLEYR GRASSO est limitée à cinq fois le montant des honoraires effectivement facturés au Client par KLEYR GRASSO dans l’affaire concernée.

8.2 Le client tiendra KLEYR GRASSO, ainsi que ses avocats respectifs, représentants, gérants et employés quitte et indemne de toute responsabilité, dommages, pertes, coûts de transaction et dépenses (y compris les frais raisonnables d’avocat et frais d’enquête) résultant de ou se rapportant à toute revendication, demande, poursuite, action en justice, investigation ou procédure intentée ou poursuivie par un Tiers au Grand-Duché de Luxembourg ou à l’étranger en relation avec les Services.

8.3 En application de l’article 2276 du Code civil luxembourgeois, KLEYR GRASSO sera, en tout état de cause, déchargé de toute responsabilité, de quelque nature qu’elle soit, en relation avec l’Engagement ou la prestation des Services cinq (5) ans après la date de fin des Services de KLEYR GRASSO ou de la date de fin de l’Engagement, la prescription courant à partir de l’évènement qui survient le premier.

9. Fin de l’engagement

9.1 Le Client peut mettre fin à l’Engagement en notifiant un avis de résiliation écrit à l’attention du ou des partner(s) KLEYR GRASSO en charge du dossier (tel qu’indiqué dans la lettre d’engagement). A la réception de cet avis de résiliation, les obligations de KLEYR GRASSO en relation avec l’Engagement cesseront avec effet immédiat. Sans préjudice de ce qui précède, le Client devra payer à KLEYR GRASSO les Honoraires, Frais et Débours encourus jusqu’au jour de la réception de l’avis de résiliation. Pour le cas où les Honoraires ont été forfaitisés, le Client devra payer à KLEYR GRASSO le prorata des Honoraires convenus.

9.2 KLEYR GRASSO peut mettre fin à l’Engagement en notifiant au Client, par courriel, télécopie, courrier recommandé ou sous une quelconque autre forme écrite, un avis de résiliation. KLEYR GRASSO peut, entre autres, mettre un terme à l’Engagement, et ce sans encourir de responsabilité, en cas de violation par le Client des présentes Conditions Générales. Le droit de KLEYR GRASSO de mettre fin à l’Engagement ne préjudicie en rien le droit de KLEYR GRASSO de facturer au Client le prorata des Honoraires, Frais et Débours encourus et dus au jour de l’expiration de l’avis de résiliation.

10. Engagement de tiers

10.1 KLEYR GRASSO est autorisé à mandater des tiers, extérieurs à KLEYR GRASSO, afin de réaliser une quelconque partie des Services. Les contrats conclus entre KLEYR GRASSO et ces tiers pourront être régis par les conditions générales de ces tiers. Le cas échéant, KLEYR GRASSO sera dans l’impossibilité d’offrir au Client de meilleures conditions que celles offertes par les tiers à KLEYR GRASSO.

10.2 Dans la mesure du possible, KLEYR GRASSO sollicitera l’avis du Client avant d’engager des tiers. Dans le choix des tiers, KLEYR GRASSO fera, en tout état de cause, preuve de prudence. KLEYR GRASSO n’assume, en aucune circonstance, une quelconque responsabilité pour des actes ou omissions des tiers ou pour toutes pertes, dommages, frais et dépenses que le Client doit assumer en relation avec une faute ou une négligence du tiers. Le Client autorise KLEYR GRASSO à accepter, au nom et pour le compte du Client, les limitations de responsabilité des tiers.

10.3 Le Client s’engage à tenir KLEYR GRASSO quitte et indemne de toute responsabilité, dommages, pertes, frais transactionnels et dépenses (y compris des frais d’avocat et frais de justice) en relation avec toute revendication, de quelque nature qu’elle soit, qu’un tiers mandaté sous cette section 10 pourrait avoir à l’encontre de KLEYR GRASSO.

11. Secret professionnel

11.1 KLEYR GRASSO est soumis au secret professionnel prévu par la législation luxembourgeoise et KLEYR GRASSO traite, en conséquence, toutes les informations relatives au Client et à son activité professionnelle de manière confidentielle, hormis les cas où (i) KLEYR GRASSO est obligé en vertu soit de la loi, soit d’une autorité administrative ou judiciaire à divulguer ces informations ou (ii) la divulgation est autorisée par le Client. Les mêmes principes s’appliquent aux informations relatives au(x) bénéficiaire(s) économique(s) que KLEYR GRASSO peut être obligé de collecter conformément à l’article 12 des présentes Conditions Générales.

11.2 Sans préjudice des stipulations de l’article 11.1, le Client accepte que KLEYR GRASSO mentionne l’identité du Client et une brève description des Services procurés au Client à un nombre limité de journalistes de guides internationaux de classement des avocats et cabinets d’avocats (tels Chambers ou Legal 500) auxquels KLEYR GRASSO soumet des submissions en vue de l’évaluation de la position de KLEYR GRASSO sur le marché luxembourgeois.

12. Lutte contre le blanchiment et le terrorisme

12.1 KLEYR GRASSO est soumis à la législation luxembourgeoise relative à la lutte contre le blanchiment et contre le financement du terrorisme et est, en tant que tel, pour les dossiers dits
transactional (tels que définis dans la loi relative à la lutte contre le blanchiment), obligé par la loi d’identifier le Client et d’obtenir des informations relatives au Client, son identité, son activité professionnelle ainsi que sur la nature des fonds, peu importe qu’ils transitent ou non sur les comptes bancaires de KLEYR GRASSO. Le Client s’engage formellement, inconditionnellement et irrévocablement envers KLEYR GRASSO à communiquer spontanément toutes informations ou déclarations, ainsi que tous documents requis par la législation relative à la lutte contre le blanchiment (notamment, mais sans que cela ne soit exhaustif, toute demande formulée par KLEYR GRASSO en relation avec la procédure Know Your Customer (KYC)).

12.2 Conformément à la loi modifiée du 12 novembre 2004 relative à la lutte contre le blanchiment et contre le financement du terrorisme et la Circulaire n°001/2021-2022 du Barreau de Luxembourg, KLEYR GRASSO est autorisé à recourir à un prestataire de service externe en vue de l’exécution de toutes ou partie des obligations règlementaires lui incombant dans le cadre de la lutte contre le blanchiment et contre le financement du terrorisme. Le Client supportera tous les frais en relation avec cette assistance.

12.3 Conformément à la législation luxembourgeoise, KLEYR GRASSO est obligé de dénoncer toute transaction suspecte à propos de laquelle KLEYR GRASSO sait ou soupçonne que l’argent ou la propriété est lié au blanchiment ou au financement du terrorisme. Si KLEYR GRASSO a de tels soupçons, son obligation légale d’informer les autorités prime sur toute autre obligation, en ce compris sur le secret professionnel.

12.4 KLEYR GRASSO n’assume aucune responsabilité pour des dommages et/ou pertes subis par le Client en relation avec son obligation légale de coopération avec les autorités (y compris l’obligation de divulgation).

13. DAC 6

13.1 La loi du 25 mars 2020 relative aux dispositifs transfrontières devant faire l’objet d’une déclaration (« Loi DAC 6 ») qui transpose la Directive (UE) 2018/822 du Conseil du 25 mai 2018 a pour objectif de permettre aux autorités fiscales des Etats membres de l’Union Européenne d’obtenir des informations sur les dispositifs de planification fiscale à caractère potentiellement agressif afin de pouvoir agir contre les pratiques fiscales dommageables.

Dès lors qu’un mandat ou un dossier qui est confié à KLEYR GRASSO est susceptible d’être basé sur ou de constituer un arrangement transfrontalier au sens de la Loi DAC 6, le Client s’engage formellement, inconditionnellement et irrévocablement envers KLEYR GRASSO à communiquer spontanément toutes informations, déclarations et tous documents relatifs à cet arrangement transfrontalier afin que KLEYR GRASSO puisse se conformer à ses obligations sous la Loi DAC 6. Dans le cas où ces informations, déclarations et documents ne seraient pas fournis, le Client s’engage à tenir KLEYR GRASSO quitte et indemne de toute responsabilité, dommages, pertes, frais transactionnels et dépenses (y compris des frais d’avocat et frais de justice) résultant de ce manquement.

13.2 Afin de lui permettre de déterminer si le mandat ou le dossier confié à KLEYR GRASSO tombe dans le champ d’application de la Loi DAC 6, l’obligeant éventuellement à effectuer des démarches de notification, KLEYR GRASSO est autorisé de se faire assister dans son travail d’évaluation par un fiscaliste extérieur à KLEYR GRASSO aux frais du Client.

13.3 KLEYR GRASSO n’assume aucune responsabilité pour des dommages et/ou pertes subis par le Client en vertu de son obligation légale de coopération avec les autorités (y compris son obligation de déclaration) sous la Loi DAC 6.

14. Conservation des dossiers

14.1 KLEYR GRASSO conservera la Documentation pour une durée maximale de cinq (5) ans après la date de fin des Services ou la date de fin de l’Engagement, la prescription courant à partir de l’évènement qui survient le premier. Au-delà de cette période, et sauf demande écrite adressée par le Client à KLEYR GRASSO en vue de la restitution de la Documentation, KLEYR GRASSO sera, conformément à l’article 2276 du Code civil luxembourgeois, autorisé à détruire la Documentation et KLEYR GRASSO sera déchargé de toute responsabilité en relation avec la destruction de la Documentation.

14.2 KLEYR GRASSO est autorisé à exercer un droit de rétention sur la Documentation jusqu’à ce que toutes les sommes dues à KLEYR GRASSO auront été intégralement réglées par le Client.

15. Documents de travail et produits de travail

15.1 Les Documents de Travail préparés en relation avec les Services sont et resteront la propriété exclusive de KLEYR GRASSO. Les Documents de Travail ne sont pas destinés à être divulgués, sous quelque forme que ce soit (y compris, mais sans que cela ne soit exhaustif, par le biais de procédures dites discovery proceedings), au Client et/ou à un tiers et/ou à une juridiction, de quelque nature qu’elle soit, sauf si KLEYR GRASSO décide discrétionnairement de les divulguer pour les besoins de sa défense. Le Client ne peut faire valoir de droits, de quelque nature qu’ils soient, sur les Documents de Travail. KLEYR GRASSO est seul titulaire de tous les droits de propriété intellectuelle sur les Documents de Travail préparés en relation avec les Services.

15.2 A l’exception des Produits de Travail qui sont préparés en relation avec des dépôts officiels dans des procédures administratives ou juridictionnelles (procédures devant les juridictions administratives et judiciaires), les Produits de Travail divulgués au Client sont uniquement destinés au bénéfice du Client et à l’usage interne par le Client et le Client n’est pas autorisé à divulguer un Produit de Travail (ou une partie ou un résumé du Produit de Travail) ou y faire référence dans un document officiel ou dans une quelconque communication à un Tiers sans l’autorisation écrite préalable de KLEYR GRASSO. Le Produit de Travail ne peut pas être utilisé par le Client à d’autre fins et il ne peut pas être utilisé par, publié par, communiqué à ou déposés auprès de Tiers pour une quelconque raison sans l’accord écrit préalable de KLEYR GRASSO (une telle autorisation pouvant être accordée ou non à l’entière discrétion de KLEYR GRASSO). KLEYR GRASSO n’assume aucune obligation ou responsabilité envers des Tiers auxquels une copie du Produit de Travail a été fournie.

16. Traitement des données

16.1 Le Client accepte que KLEYR GRASSO procède au traitement des données à caractère personnel du Client. Le traitement est nécessaire à l’exécution par KLEYR GRASSO des Services et pour se conformer à ses obligations légales et/ou réglementaires. Toutes données à caractère personnel seront détruites au plus tard dix (10) après la date de fin des Services de KLEYR GRASSO ou de la date de fin de l’Engagement.

16.2 KLEYR GRASSO agit conformément (i) au Règlement (UE) 2016/679 du Parlement Européen et du Conseil du 27 avril 2016 relatif à la protection des personnes physique à l’égard du traitement des données à caractère personnel et la libre circulation de ces données, et abrogeant la directive 95/46/CE (règlement général sur la protection des données) et (ii) dans la mesure où elles s’appliquent, les lois nationales luxembourgeoises concernant la protection des personnes à l’égard du traitement des données à caractère personnel et la protection de la vie privée.

16.3 Lorsque KLEYR GRASSO traite des données à caractère personnel en tant que responsable du traitement (c’est-à-dire lorsque KLEYR GRASSO détermine les finalités et les moyens de traitement et n’agit pas pour le compte d’un autre responsable du traitement), le traitement se fera conformément à la Déclaration de protection des données (consultable sur le site Internet www.kleyrgrasso.com (rubrique Privacy)) que le Client accepte expressément.

16.4 Lorsque KLEYR GRASSO traite des données à caractère personnel en tant que sous-traitant, le traitement se fera conformément à une convention spécifique signée entre KLEYR GRASSO et le responsable du traitement.

17. Exclusion de toute renonciation implicite

Pour être opérante, toute renonciation de KLEYR GRASSO et/ou du Client à un droit ou une obligation sous les présentes Conditions Générales doit être faite par écrit et signée par un représentant de la partie qui renonce dûment habilité à ces fins (pour KLEYR GRASSO le managing partner ou le partner en charge du dossier (tel qu’indiqué dans la lettre d’Engagement)).

Aucun défaut ou manquement par KLEYR GRASSO (i) d’insister sur l’exécution, (ii) d’exécuter l’une quelconque des stipulations des présentes Conditions Générales ou (iii) d’exercer un quelconque droit ou recours sous les présentes Conditions Générales n’affecte les droits de KLEYR GRASSO ou peut être considéré comme une renonciation à s’en prévaloir.

18. Divisibilité

Si une stipulation des présentes Conditions Générales devait être contraire à une disposition impérative ou d’ordre public ou non-exécutoire dans une quelconque juridiction, pareille stipulation ne pourra en aucun cas affecter la validité ou le caractère exécutoire des autres stipulations.

Le Client accepte que, sous réserve d’une notification par KLEYR GRASSO via courriel ou sous une autre forme, cette stipulation soit automatiquement remplacée par une stipulation valable et opérante préservant l’économie contractuelle et reflétant l’esprit initial de la stipulation nulle ou dépourvue d’effet.

19. Titres

Les titres utilisés dans les présentes Conditions Générales ne sont utilisés que pour des raisons de commodité et ne sauraient, en aucun cas, affecter l’interprétation des présentes Conditions Générales.

20. Droit applicable et attribution de juridiction

Les présentes Conditions Générales et l’Engagement, y compris toutes obligations non-contractuelles y relatives, seront régis et interprétés conformément au droit luxembourgeois, à l’exclusion expresse de toutes dispositions de droit international privé luxembourgeois.
Les juridictions de Luxembourg-Ville (Grand-Duché de Luxembourg) ont compétence exclusive pour tout litige en relation avec les présentes Conditions Générales et l’Engagement (y compris tout litige relatif à l’existence, la validité ou la résiliation des présentes Conditions Générales et l’Engagement ainsi que pour les obligations non-contractuelles en relation avec les présentes Conditions Générales et l’Engagement).
