Grand ducal decree coordinating the amended law of 10 August 1915
The Grand ducal decree of 5 December 2017 coordinating the law of 10 August 1915 on commercial companies, as amended, was published in the Mémorial (Official Journal) of 15 December 2017.
In the interest of consistency and readability of the provisions of the law of 1915 as amended, this decree proceeds with a coordination of established law, without otherwise making changes to substance of the law as it stands. Only the numbering of the legal provisions is changing, and some clerical and other errors are also rectified. The decree thus requires no immediate action on behalf of the companies to which it applies.
This renumbering has to be seen in the context of the law of 10 August 2016 modernising the amended law of 1915. This law enacted a major reform of Luxembourg company law. It also expressly authorized the government to proceed with a coordination of the law.
The decree includes an annex with a correlation table of the new and the old numbering.
The decree enters into force on the fourth day following its publication, i.e. on Tuesday 19 December 2017.
Règlement grand-ducal portant coordination de la loi modifiée du 10 août 1915
Le règlement grand-ducal du 5 décembre 2017 portant coordination de la loi modifiée du 10 août 1915 concernant les sociétés commerciales vient d’être publié au Mémorial (Journal Officiel) du 15 décembre 2017.
Dans un souci de cohérence et de lisibilité des dispositions de la loi modifiée de 1915, ce règlement procède à une coordination à droit constant de la loi de 1915. La substance de la loi reste donc en principe inchangée. C’est uniquement la numérotation des articles de la loi qui change, quelques erreurs grammaticales ou autres sont également rectifiées. Le règlement ne requiert donc aucune action immédiate de la part des sociétés auxquelles il s’applique.
Cette renumérotation fait suite à la loi du 10 août 2016 portant modernisation de la loi modifiée de 1915. Cette loi constitue une réforme majeure du droit luxembourgeois des sociétés. Elle contenait également une autorisation expresse pour le gouvernement de procéder à une coordination de la loi de 1915.
Le règlement inclut en annexe une table de concordance entre la nouvelle et l’ancienne numérotation.
Il entre en vigueur trois jours francs après sa publication, le mardi 19 décembre 2017.
