Adoption of the law on the modernisation of company law
The Luxembourg Parliament adopted on 13 July 2016 the new law on the modernisation of company law (bill nr. 5730 on the modernisation of the amended law of 10 August 1915 on commercial companies, and amending the civil code and the amended law of 19 December 2002 on the register of commerce and companies and the accounting and annual accounts of companies).
The new law will come into force three days after its publication in the Mémorial (Official Journal).
This law enacts a major reform of Luxembourg company law. The vote puts an end to lengthy discussions, as the initial version of the draft bill was submitted to Parliament in 2007.
The law includes important innovations for the different types of companies, frequently by making the existing legal regime more flexible. For example, it considerably reforms the regime of the public limited company (société anonyme) and of the private limited liability company (société à responsabilité limitée).
It also creates a new type of company, namely the société par actions simplifiée (SAS), which did not exist in Luxembourg law so far and which is based on the French SAS.
It also clarifies several legal provisions, the interpretation of which was not always entirely clear.
This new law is important for the incorporation of new companies, and for existing companies which may wish to benefit from the possibilities newly offered by the law.
Furthermore it is recommended that existing companies, especially if their articles of incorporation are rather complex, review and, as the case may be, adapt their articles in order to conform to the new legal requirements. Existing companies have two years following the entry into force of the new law to make their articles compliant with it.
It should also be noted that on the same day, Parliament adopted a new law on the simplified private limited liability company (société à responsabilité limitée simplifiée – SARL-S).
Adoption de la loi portant modernisation du droit des sociétés
La Chambre des Députés vient d’adopter le 13 juillet 2016 la loi portant modernisation du droit des sociétés (projet de loi n° 5730 portant modernisation de la loi modifiée du 10 août 1915 concernant les sociétés commerciales et modification du Code civil et de la loi modifiée du 19 décembre 2002 concernant le registre de commerce et des sociétés ainsi que la comptabilité et les comptes annuels des entreprises).
La loi entrera en vigueur trois jours après sa publication au Mémorial (Journal Officiel).
Il s’agit d’une réforme majeure du droit luxembourgeois des sociétés. Le vote de la loi met fin à de longues discussions, la version initiale du projet de loi ayant été déposée en 2007.
La loi contient des innovations importantes pour les différents types de sociétés déjà actuellement prévus par la loi, souvent en rendant le régime légal plus flexible. Par exemple, elle modernise considérablement le régime des sociétés anonymes et des sociétés à responsabilité limitée.
Elle crée également un nouveau type de sociétés, à savoir la société par actions simplifiée (SAS), qui à cette date n’existait pas en droit luxembourgeois, et qui est inspirée de la SAS française.
Elle clarifie également un certain nombre de dispositions légales dont l’interprétation était discutée.
Cette réforme législative est dès lors importante pour la création de nouvelles sociétés, mais aussi pour des sociétés existantes qui souhaitent bénéficier des nouvelles possibilités offertes par la loi.
Indépendamment de cela, il est recommandé aux sociétés existantes, surtout si elles ont des statuts plus complexes, de revoir et le cas échéant de modifier leurs statuts pour les adapter aux nouvelles exigences légales. La nouvelle loi contient ainsi une disposition transitoire, selon laquelle les sociétés existantes ont deux ans à partir de l’entrée en vigueur mettre leurs statuts en conformité avec la nouvelle loi.
A noter que le même jour la Chambre des Députés a également adopté une nouvelle loi instituant la société à responsabilité limitée simplifiée (SARL-S).
