The LBR recently announced the end date of the transition period, which has been set for 1st June 2025.
We informed you in our newsletter of 6 November 2024 about the new important rules, applicable to all individuals registered or to be registered within the file of an entity listed with the Luxembourg Register of commerce and companies (RCSL) operated by the Luxembourg Business Register (LBR).
REMINDER
These new rules required all individuals registered with the RCSL in whatever capacity (shareholder, managing body members, permanent representatives, supervisory auditor, etc.) and whether residing in the Grand Duchy of Luxembourg or not to communicate their Luxembourg national identification number (LNIN) to the RCSL.
TRANSITION PERIOD
On this occasion, a transition period began on 12 November 2024, during which any concerned natural person could communicate their LNIN or request the creation of a LNIN on a voluntary and free basis.
After this transition period, according to the rules established by the LBR, if the LNIN or the necessary information for the creation of such a LNIN has not been provided, the file of the concerned company will be blocked until complete and final submission.
END OF THE TRANSITION PERIOD AND FREE SERVICE
The LBR recently announced the end date of the transition period, which has been set for 1st June 2025. Specifically, any concerned natural person who needs to communicate their LNIN or request the creation of a LNIN and has not yet completed the necessary formalities can do so until 31st May 2025, free of charge.
Starting from 1st June 2025, all requests (for updates) will be charged, like any submission to the LBR.
ACCESS RESTRICTIONS
In the absence of LNIN updates, LBR announced that it reserves the right to restrict total access to submissions for the concerned entities until their situation is regularized. This restriction will be effective from 1st October 2025, on which date the total blocking of submissions will become operational.
